BY-LAWS for “Southern Minnesota ATV Riders”
 
 
ARTICLE I-Name and Purpose
 
Section 1. The name of this club shall be “Southern Minnesota ATV Riders”.
 
Section 2. The purpose  of this club is to:
A) Stimulate and advance the general welfare and safety of  ATVing.
B) To provide a medium for the exchange of ATVing information.                                                                                                               
C) To develop a fraternal spirit among local ATVers and recreational enthusiasts.
D) To serve the interests of ATV owners.
E) To own or lease land for for club use.
F) To perform all desirable and lawful functions for the successful operation of the
    club and in general public interest to the best of our ability.
G) To support the activities and functions of the All Terrain Vehicle Association of
     Minnesota.
 
 
ARTICLE II-Membership
 
Section 1. Membership in the club shall consist of the following classes: 
 
     A) General Membership: General Membership will consist of immediate family living within the household . Cost will be $30.  
                                                  
    B) Lifetime Membership: Lifetime Memberships will be an individual membership that will endure the life of the club. Cost will be $150.
 
    C) Family LT Members  : Family Lifetime members will consist of immediate family within the household at the time the membership is purchased and will endure the life of the club. Cost will be $300.
 
     D) Associate Members    : Associate Memberships will be awarded, at the discretion of the Board of Directors, to ATV dealerships or businesses that provide and show support  for the ATV community free of charge.
 
    E) Honorary Members   : Honorary Memberships will be awarded, at the discretion of the Board of Directors, free of charge to those who actively support the purpose of this club.  This membership will be valid for one (1) calendar year.
 
Section 2Memberships are available to all ATV owners and enthusiasts without regard to sex, race, or religious beliefs. 
 
Section 3. Applications  for memberships shall be made in writing, addressed to the club Secretary on the Membership Application form agreeing to abide by the by-laws of this club. Upon payment of the appropriate dues, the applicant shall be a member of the Southern MN ATV Riders club.
 
Section 4. Each active member of SMNATVR will also be an active member of ATVAM. $15 of the membership dues will be paid for a membership to ATVAM. If applicant is a current and valid member of ATVAM, $15 of the membership fee shall be waived upon proof of membership.
 
Section 5. Any member of SMNATVR may resign their membership at any time in writing to the club President. In order to ensure the financial health of SMNATVR, refunds shall not be rewarded.
 
Section 6. Any membership in SMNATVR may be terminated at any time by majority vote by the club officers based on behavior not conducive to the SMNATVR by-laws.
 
Section 7. All memberships are subject to the approval of the SMNATVR Board of Directors.
 
 
 ARTICLE III-Riding Rules
 
Section 1. Members of this club will observe the following rules while riding at any location:
A) Obey regulations of the area in which they are riding.
B) Be courteous to other riders.
C) Maintain proper registration.
D) Assist other in need while on the trail.
E) Do not ride under the influence of drugs and alcohol.
F) Do not litter.
G) Maintain and equip with proper equipment on their machine if riding in regulated areas.
 
 
ARTICLE IV-Dues
 
Section 1. The annual dues are payable for current members within the month of January of each year.
New members shall pay dues for the entire year between the months of  January to September. Dues paid after September 30, will be appropriated for the following year, beginning January 1, 2xxx.
 
 
ARTICLE V-Fiscal Year
 
Section 1. The fiscal year shall commence on January 1 and cease on December 31 of each year.
 
 
ARTICLE VI-Management
 
Section 1. The management of this club is vested in the Board of Directors.
 
 
ARTICLE VII-Board of Directors
 
Section 1. The Board of Directors shall be elected at the first meeting of the fiscal year. Directors shall assume their position on the Board at the closure of this meeting. Minimum term shall be for a period of one (1) year. No maximum term shall be established and shall be decided by the desire of the elective and the will of the club voters.
 
Section 2. If vacancies should occur by reason of death, resignation, or otherwise, the remaining  Directors shall elect, by majority vote, a successor for each un-expired term.
 
Section 3. Due to the vast area covered by members of SMNATVR, it is upon the discretion of the Board of Directors for meeting locations and shall be announced  at current meetings for the next meeting location.
 
Section 4. A special session may be called at any time by any of the Board of Directors to discuss  immediate concerns pertaining to the club. Any formal actions shall be by majority vote of the Board.
 
Section 5. All transactions shall be approved by the Board of Directors prior to payment.
 
Section 6. The Board of Directors shall, at any time, elect an Executive Committee of the Board to act in their stead.
 
Section 7. The Board of Directors reserves the right to abolish any position in the Executive Committee.
 
Section 8. The Board of Directors may employ whatever personnel they deem necessary, and for which funds are available, to aid in the management and programs of this club, and may authorize the expenditure of the club funds in any manner provided such actions are in the  proper furtherance of the process of the club.
 
 
ARTICLE VIII-Officers
 
Section 1. The officers of the club will consist of  a President, Vice President, Secretary, Treasurer, and a Trails Director.
 
Section 2. Officers of the club will be elected at the annual meeting. Officer positions will be held for a period of (1) calendar year. In the event no other club member has interest in an officer position, the said position will be retained until vacated by either resignation, revocation by majority vote of the remaining board members, or any life event that renders the officer unable to perform their duties.
 
Section 3. More than one officer position may be held by any one member of the club.
 
Section 4. The President shall preside at all meetings of this club and of the Board of Directors. The President shall oversee and coordinate such committees as are authorized by the Board of Directors and act in the best interests of the club.
 
Section 5. The Vice President, during the absence or temporary incapacity of the President, shall perform the duties and have the powers of the President.
 
Section 6. The Secretary shall keep the club records, except financial record, including the minutes of all meetings, roster of all members, list of committees and their members. The Secretary shall notify club members of meeting and handle applications for membership.
 
Section 7. The Treasurer shall keep financial records of the club and have authorization to make transactions that are club related and under the direction of the club President. The club Treasurer shall keep all funds in a bank approved by the Board of Directors. The account Shall be held in the name of the club Southern MN ATV Riders. In the Treasurer’s absence, the account responsibility shall belong to the club President, followed by the club Vice President. A Treasurer’s report shall be provided for each Board meeting.
 
Section 8. The Trails Director shall work to establish and maintain, with the assistance of Regional Representatives, Grant-In-Aid trails and riding areas in designated locations. The Regional Representatives will be responsible for contacting the proper persons and filing the appropriate paperwork with the necessary County offices.
 
 
ARTICLE IX-General Membership Meetings
 
Section 1. The Annual Meeting of the Members of the club shall be held between January 1 and January 31 of each year at the time and place designated by the Board of Directors. The major business of this meeting shall be the election of the Board of Directors and officers.
 
Section 2. Regular meetings of this clubs members shall be held monthly at the time and place designated by the resolution at the previous meeting or as designated by the president, or by the Board of Directors.
 
Section 3. Special meetings of this club may be called by the Board of Directors, the club President, or by and for a group of thirty-four (34) percent of the active members by giving at least seven (7) days written notice of the time, place, and purpose of such special meetings.
 
Section 4. Written notice of the time and place of the Annual Meeting shall be prepared and distributed to the membership by the club Secretary. All other meeting times and places shall be communicated at each meeting.
 
Section 5. Members present at any duly called meeting of the membership shall require a majority vote of those active members present. Each member present shall be entitled to one (1) vote per individual and two (2) per family membership provided both spouses are present. Those in attendance and under the age of majority (18) shall not be entitled to a vote.
 
 
ARTICLE X-Election Procedures
 
Section 1. A “Qualified Member” is a member who has paid dues to SMNATVR.
 
Section 2. A nominating committee of at least three (3) persons shall be appointed by the Board of Directors for each prospective vacancy from among the names of the qualified members of the club.
 
Section 3. In the event of an election, members may nominate him/herself or nominate another qualified member to be added to the official ballot, which shall also provide space for write-in candidates, together with the specific term of years for which each candidate is nominated. Subsequently, notice of the Nomination Committee’s selection shall be available at the general membership meeting prior the annual meeting. Official ballots will be distributed at the annual meeting to those members. A Tally Committee of three (3) members shall be appointed to count the ballots and announce the names of those elected to the Board of Directors for the various terms. All ties will be decided by a Written run-off ballot.
 
Section 4. To be nominated or hold office of: President, Vice President, Secretary, Treasurer, or Trails Director, an individual must attend at least 6 of the last twelve meetings.
 
Section 5. The Board of Directors may, by unanimous decision may choose to hold any and/or all  nominations for officers at the annual meeting, thereby overriding Article X, Section 3.
 
 
ARTICLE XI-Amendments
 
Section 1. These by-laws may be amended by the affirmative vote of at least seventy-five percent or  greater of members at any given meeting provided a 30-day notice of the intent to amend and proposed changes are clearly given.
 
 
ARTICLE XII-Splitting of the Club
 
Section 1. If this club should split, assets and liabilities shall remain with this club, but “Non-Legal-Tender” assets shall be available for use for the period of (1) calendar year for the purpose of establishing and maintaining a club or riding areas.
                        
 
ARTICLE XIII-Dissolution
 
Section 1. In the event this club shall disband, all liabilities shall be paid in full and the remaining  assets shall be distributed to non-profit organizations by the Board of Directors.
